Terms of Service

Effective August 27, 2026.

Thanks for using CPArelay. These Terms cover your use of CPArelay (the "Service"), operated by Seveninblue LLC ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Your account

You need to be at least 18 years old and able to form a binding contract to use CPArelay. You're responsible for everything that happens on your account, including the actions of any team members you invite. Keep your password secure and let us know right away if you suspect unauthorized access.

Each person using the Service must be a real human with a unique email address. Sharing a single login between multiple people is not permitted.

2. Acceptable use

You agree not to use CPArelay to: send spam, send invoices for illegal goods or services, harass anyone, impersonate someone else, attempt to break or probe the Service, or do anything that violates any applicable law. We get to decide what counts as a violation, and we reserve the right to suspend or terminate accounts that cross the line.

3. Payment and billing

CPArelay offers a free trial with no credit card required. When paid subscriptions launch, subscribing authorizes us to charge your payment method on a recurring basis at the price displayed when you subscribe, until you cancel. Firms that join during the trial period lock in founding rates. We'll give you reasonable notice before any change to standard pricing.

Payments are processed by Stripe. We don't store your full credit card number on our servers.

4. Your content and your clients' data

You own the data you put into CPArelay — your engagements, documents, client records, invoices, and everything else. We don't claim any ownership of it. You give us permission to host, copy, transmit, and display your content only to the extent necessary to operate the Service for you.

Client information you enter is yours to manage. You're responsible for having the right to store and use your clients' information in the Service. We won't sell your data, mine it for advertising, or train AI models on it.

5. Cancellation and termination

You can cancel anytime. See our Cancellation Policy for details.

We may suspend or terminate your account if you violate these Terms, fail to pay, or in rare cases for security or legal reasons. We'll do our best to give you notice and a chance to export your data when we can.

6. Service changes

We're an actively developed product. Features may be added, changed, or removed. We'll communicate significant changes that affect your use of the Service, but small changes happen continuously without notice.

7. Warranties and liability

CPArelay is provided "as is." We do our best to keep the Service running reliably and to keep your data safe, but we can't guarantee it will always be available, error-free, or perfectly secure.

To the fullest extent permitted by law, our total liability for any claim related to the Service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

8. Professional responsibility

CPArelay is workflow software, not accounting, tax, or legal advice. You remain responsible for your professional work product, your engagements with your clients, and your compliance with the professional standards that apply to your practice.

9. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service, your content, or your violation of these Terms.

10. Governing law

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Utah, and you consent to personal jurisdiction there.

11. Changes to these Terms

We may update these Terms occasionally. When we do, we'll change the "Last updated" date and, for material changes, notify you by email or in the app. Continued use after changes means you accept the new Terms.

Privacy Policy

Our full privacy policy — what we store, who we share it with, retention, and your rights — lives on its own page: cparelay.com/privacy.

Cancellation Policy

Effective August 27, 2026.

You can cancel your CPArelay subscription anytime, for any reason, with no penalty and no phone call required.

How to cancel

Sign in, go to Settings → Billing, and cancel your subscription. Cancellation takes effect at the end of your current billing period, so you keep access until then. The quickest route is also the simplest: email us and we'll cancel for you and confirm.

If you can't access your account for any reason, email [email protected] from the address on your account and we'll cancel it for you.

What happens to your data

For 30 days after cancellation, your data is retained and you can reactivate by signing back in. After 30 days, your account and its data are permanently deleted from our systems, with backups overwritten within 90 days.

We recommend saving what you want to keep before the 30-day window closes — download your invoice history and executed documents, or email us and we'll help you get a full copy of your account's data.

No long-term contracts

CPArelay is month to month. There are no annual commitments, cancellation fees, or "are you sure?" hoops to jump through. If it's not working for your firm, leave — and come back if and when it makes sense again.

Refund Policy

Effective August 27, 2026.

Because CPArelay is a month-to-month subscription, the simplest way to stop being charged is to cancel — see the Cancellation Policy. Once cancelled, you won't be billed again.

When we offer refunds

We offer a refund of your most recent monthly payment if you request one within 14 days of the charge and:

  • You were charged by mistake (forgot to cancel, accidental re-subscription, duplicate charge).
  • The Service has been broken in a way that prevented you from using it for a meaningful portion of the billing period.
  • You're new to CPArelay and decided within the first two weeks that it isn't the right fit.

How to request a refund

Email [email protected] from the address on your account. Tell us briefly what happened. We'll respond within two business days, and approved refunds are processed back to your original payment method within 5–10 business days.

What we don't refund

We don't typically offer refunds for billing periods more than 14 days in the past, or for accounts terminated due to violations of our Terms of Service. That said, if you have an unusual situation, just email us — we try to be reasonable.

Stripe processing fees

Payments your clients make to you through Stripe are not covered by this policy — those are between you, your client, and Stripe. Stripe's payment processing fees on those transactions are not refunded by CPArelay.
